Conditions de vente.

La SELARL CAPPELAERE ET PRUNAUX agit comme mandataire du vendeur qui contracte avec l’acquéreur. Les rapports entre la SELARL CAPPELAERE ET PRUNAUX et l’acquéreur sont soumis aux présentes conditions générales d’achat qui pourront être amendées par des avis écrits ou oraux qui seront mentionnés au procès-verbal de vente.

Acquisition d’un Jeton non fongible (NFT de l’anglais non-fungible token)

Préambule – Tiers de confiance

Chaque NFT vendu aux enchères publiques est entreposé avant la vente dans un wallet (portefeuille) dédié de la SELARL CAPPELAERE ET PRUNAUX es-qualité de tiers de confiance.

Le wallet de la SELARL CAPPELAERE ET PRUNAUX est librement consultable et correspond à un wallet séquestre afin de garantir à l’adjudicataire la remise du NFT dès son adjudication et le paiement du prix.

 Description et état des lots.

Le NFT est l’abréviation du terme anglais « Non Fungible Token ». Un token, ou un « jeton » est un actif numérique émis par une blockchain unique et repose sur un art numérique/digital.

Le NFT mis aux enchères est une œuvre numérique qui se détache de l’œuvre physique. Comme toute cryptomonnaie, le NFT a la valeur que l’on s’accorde à lui donner.

L’adjudication d’un NFT vendu comme seule œuvre numérique ne permet pas à l’adjudicataire d’exiger la remise physique du bien faisant l’objet du NFT. Le NFT vendu exclusivement comme œuvre numérique n’est pas un bien meuble corporel, sa matérialisation ne pouvant être réalisée que par une impression sur papier de son image.

L’adjudication d’une œuvre physique et de son NFT vendu comme œuvre numérique dans un même lot rend adjudicataire le dernier enchérisseur de l’œuvre physique et de l’œuvre numérique.

Il est fait mention dans la description du lot vendu si ce dernier ne comprend que le NFT ; le NFT et l’œuvre physique ; l’œuvre physique seule

Le NFT étant un bien meuble incorporel / immatériel, son état, sa consistance, son visuel et sa description sont consultables sur le wallet séquestre de la SELARL CAPPELAERE ET PRUNAUX.

L'absence d'indication concernant l'état d'un objet vendu avec le NFT ou séparément d’un NFT garantit que celui-ci est exempt de défaut majeur méritant d'être signalé à un éventuel acquéreur tel que : déchirure, casse, tâche importante pouvant gêner son appréciation visuelle ou son utilisation.

En revanche, les biens proposés en vente avec le NFT ou proposés en vente séparément du NFT étant des biens d'occasion (sauf indication spécifique indiquant 'état neuf') implique qu'ils ne sont pas exempts de défauts mineurs liés à une utilisation normale (traces de frottements, rayures, légers enfoncements...) ou de restaurations d'usage (nettoyage, consolidation, renforcement ou toute opération visant à pérenniser son usage).

Afin de s'enquérir de l'état d'un objet (précisions sur les défauts majeurs, nature des usures ou autres défauts mineurs...), la maison de vente reste à la disposition de l'éventuel acquéreur pour le renseigner avant la vente, la demande de l'intéressé devant être reçue au plus tard 48h avant le commencement de la vente aux enchères publiques.

La vente étant réalisée en salle des ventes ainsi que sur internet, la description des états et la présentation des photos sur le site valent exposition préalable des NFT qui sont également consultables sur le wallet séquestre de l’Etude dont l’accès est indiqué dans les communications, le catalogue et sur simple demande.

L'état des cadres garnissant les œuvres graphiques - qu'ils soient reproduits ou non en photographie - n'est jamais garanti par la maison de vente et aucune réclamation portant sur l'état des lots susmentionnés ne sera acceptée par la maison de vente.

Adjudication.​

​​​​​​Seul le document appelé bordereau d’achat, envoyé directement à l’adjudicataire depuis la maison de vente SELARL CAPPELAERE ET PRUNAUX sans intermédiaire et reproduisant les éléments du procès-verbal tenu par le commissaire-priseur, fait office de confirmation d’adjudication. Conformément à la loi, la maison de ventes engage sa responsabilité sur les mentions qu'il porte sur ce document.

Le NFT adjugé sera remis à l’adjudicataire par le transfert, après complet paiement du prix, du wallet séquestre au wallet personnel de l’adjudicataire.

L’adjudicataire qui ne bénéficie pas d’un wallet personnel permettant de recevoir un NFT pourra demander à la SELARL CAPPELAERE ET PRUNAUX la réalisation d’une prestation de création de wallet personnel, laquelle est facturée 50 € H.T.

Frais de vente.

L’adjudicataire devra acquitter, en sus du montant de l’enchère, par lot, les frais suivants : 21,8 % TTC. (20% TTC frais de vente + 1,8% TTC frais de vente on-line).

Frais de transfert de NFT entre wallet

L’adjudicataire prend à sa charge l’ensemble des coûts de transfert de NFT :

·      entre le wallet du propriétaire du lot et le wallet séquestre de l’Etude

·      entre le wallet séquestre et le wallet personnel de l’adjudicataire

Ces frais seront intégrés dans les bordereaux acheteurs.

Envois postaux.

L'envoi postal est un service optionnel proposé à l'adjudicataire, dont les caractéristiques (délai de traitement, possibilité de prise en charge ou non), ne saurait être conditionné au complet paiement du bordereau d'adjudication par l'adjudicataire.

Avant toute demande d'envoi postal, il revient à l'enchérisseur - avant de porter son enchère - de s'enquérir de la possibilité d'un envoi postal par la maison de vente. Compte-tenu des contraintes de fragilité, de poids ou de volume, la maison de vente se réserve le droit de refuser toute demande d'envoi postal.

Rappel des conditions d’envois postaux.

Dès réception du règlement, SELARL CAPPELAERE ET PRUNAUX, sous condition d’acceptation de prise en charge, s’engage à procéder à l’envoi postal dans les meilleurs délais, dans un délai maximum de 30 jours calendaires.

Après accord et règlement, l’envoi sera effectué aux noms et adresse figurant dans le compte acheteur Drouot Digital ayant servi à l'achat. Pour un envoi à une adresse différente, il revient à l’acheteur de le préciser au plus tard au moment du règlement.

Les dommages constatés durant l’acheminement n’étant pas couverts par le prestataire LA POSTE, l’adjudicataire dégage l’établissement SELARL CAPPELAERE ET PRUNAUX de toute responsabilité en cas de dommages subis et constatés à l'arrivée.

Pour obtenir de meilleures garanties de livraison, une liste de professionnels agréés peut être fournie par la maison de vente sur simple demande.

Paiement.

Le paiement devra être effectué immédiatement après la vente:

- en espèces (euros) jusqu’à 1.000 euros pour les ressortissants français ou jusqu’à 10.000 euros pour les ressortissants étrangers justifiant de leur résidence fiscale à l'étranger

- sur place par carte bancaire (Visa, Mastercard)

- à distance par carte bancaire en ligne à l'adresse du site de la maison de vente SELARL CAPPELAERE ET PRUNAUX et conformément au montant indiqué sur le bordereau d’adjudication :

- à distance par virement bancaire en euros à l’ordre de SELARL CAPPELAERE ET PRUNAUX

- par chèque bancaire à l’ordre de SELARL CAPPELAERE ET PRUNAUX, avec présentation obligatoire d’une pièce d’identité en cours de validité. En cas de règlement par chèque bancaire, la délivrance de l'objet ne pourra être effectuée qu'après un délai d'attente de 21 jours après la remise à l'encaissement du dit chèque.

Document remis à l’adjudicataire.

Un unique document appelé Bordereau d’achat est remis à l’adjudicataire. Ce document engage la maison de vente sur l’authenticité (auteur, datation) lorsque ceux-ci sont indiqués dans le catalogue.

Ce document reproduit les éléments du procès-verbal de la vente, à savoir : la date de la vente, la description du bien et son numéro de passage, le montant adjugé, le montant des frais, le montant total. Ce document faisant office de facture et de certificat d’authenticité, il n’est remis à l’adjudicataire aucun autre document.

Réclamation.

Il appartient à l'adjudicataire de vérifier les objets au moment même du retrait à l'étude (nombre d'éléments qui constituent le lot, état). Le retrait physique par l'adjudicataire implique l'acceptation des lots et de leur état.

Les réclamations portant sur un défaut de conformité (par exemple un état non conforme) devront être portées à la connaissance de l’établissement au moment même du retrait du lot par l’adjudicataire. Toute réclamation portée postérieurement au retrait ne pourra être traitée.

En cas d’envoi postal effectué à la demande de l'adjudicataire ou de retrait effectué par un intermédiaire mandataire, l’adjudicataire renonce à son droit d'effectuer toute réclamation concernant l’état de l’objet adjugé, la maison de vente ne pouvant être tenue responsable des altérations subies par l’objet à partir de sa prise en charge par un tiers.

Stockage et retrait des lots achetés.

Dès l’adjudication prononcée, les achats sont sous l’entière responsabilité de l’adjudicataire.

Aucun lot ne sera remis aux acquéreurs avant acquittement de l’intégralité des sommes dues.

Sauf mention contraire dans la fiche de description indiquant que l'objet est stocké dans un autre lieu, ou que des délais plus courts s'appliquent, les lots adjugés seront gardés chez SELARL CAPPELAERE ET PRUNAUX à titre gracieux pendant 90 jours calendaires. Au-delà, les frais de magasinage indiqués ci-après seront appliqués.

Frais de magasinage à l'hôtel des ventes.

Au-delà du délai de 90 jours de stockage, chaque lot sera facturé 40 € HT par semaine. Toute semaine commencée est due.

La maison de vente exercera son droit de rétention sur l’objet jusqu’au règlement entier des frais de stockage afférents.

En l'absence de règlement, les lots concernés seront présentés aux enchères publiques pour le compte du débiteur afin d'en assurer le remboursement, le reliquat restant dû par le débiteur.

Clause de réserve de propriété

Le Vendeur et la maison de vente se réserve, jusqu'au complet paiement du prix par l'Adjudicataire, un droit de propriété sur les lots mis en vente, lui permettant de reprendre possession desdits produits et ce quelle que soit la date de livraison desdits Produits conformément aux dispositions des articles 2367 du Code civil et suivants.

Tout acompte versé par l’adjudicataire restera acquis au Vendeur ou à la maison de vente à titre d'indemnisation forfaitaire, sans préjudice de toutes autres actions qu'il serait en droit d'intenter de ce fait à l'encontre de l'Adjudicataire.

En revanche, le risque de perte et de détérioration sera transféré à l'Adjudicataire dès la livraison des produits commandés.

L’adjudicataire s'oblige, en conséquence, à faire assurer, à ses frais, les produits commandés, au profit du Vendeur ou la maison de vente, par une assurance ad hoc, jusqu'au complet transfert de propriété et à en justifier à ce dernier lors de la livraison. A défaut, le Vendeur ou la maison de vente serait en droit de retarder la livraison jusqu'à la présentation de ce justificatif.

Défaut de paiement.

À défaut de paiement par l’adjudicataire de la totalité des sommes dues, après une seule mise en demeure restée infructueuse, le bien est remis en vente à la demande du vendeur sur folle enchère de l’adjudicataire défaillant. Si le vendeur ne formule pas cette demande dans un délai de trois mois à compter de l’adjudication, la vente est résolue de plein droit, sans préjudice de dommages et intérêts dus par l’adjudicataire défaillant.

En outre SELARL CAPPELAERE ET PRUNAUX se réserve le droit de réclamer à l’adjudicataire défaillant, des intérêts au taux légal, le remboursement de tous les frais engagés pour le recouvrement des sommes dues par lui, ainsi que le paiement de la différence entre le prix d’adjudication initial et le prix d’adjudication sur folle enchère, s’il est inférieur, ainsi que les coûts générés par les nouvelles enchères.

Compétences législative et juridictionnelle.

La loi française seule régit les présentes conditions générales d’achat. Toute contestation relative à leur existence, leur validité, leur opposabilité à tout enchérisseur et acquéreur, et à leur exécution sera tranchée par le tribunal compétent du ressort de Paris (France).

Responsabilité civile.



Conformément à la loi, il est précisé que toutes les actions en responsabilité civile engagées à l'occasion des prisées et des ventes volontaires et judiciaires de meubles aux enchères publiques se prescrivent par cinq ans à compter de l'adjudication ou de la prisée.

SELARL CAPPELAERE ET PRUNAUX acts as agent of the seller who contracts with the buyer. The relations between SELARL CAPPELAERE AND PRUNAUX and the purchaser are subject to these general conditions of purchase which may be amended by written or oral notices which will be mentioned in the minutes of sale. Acquisition of a non-fungible token (NFT) Preamble – Trusted Third Party Each NFT sold at a public auction is stored before the sale in a dedicated wallet (portfolio) of the SELARL CAPPELAERE ET PRUNAUX es-quality of trusted third party. The wallet of the SELARL CAPPELAERE ET PRUNAUX is freely searchable and corresponds to a sequestered wallet in order to guarantee to the successful tenderer the delivery of the NFT as soon as it is awarded and payment of the prize. Description and condition of the lots. The NFT is the abbreviation of the English term «Non Fungible Token». A token, or “token” is a digital asset issued by a single blockchain and is based on digital/digital art. The auctioned NFT is a digital work that stands out from the physical work. Like any cryptocurrency, the NFT has the value one agrees to give it. 

The award of an NFT sold as the only digital work does not allow the successful tenderer to require the physical delivery of the property subject to the NFT. The NFT sold exclusively as a digital work is not a tangible movable property. The award of a physical work and its NFT sold as a digital work in the same lot makes the last bidder of the physical work and and the digital work. Mention is made in the description of the lot sold if it includes only the NFT; the NFT and the physical work; the physical work alone. In the absence of precision, it should be considered that only the NFT is sold. The NFT being an intangible/immaterial movable good, its condition, its consistency, its visual and its description can be consulted on the sequestered wallet of the SELARL CAPPELAERE AND PRUNAUX.

The absence of an indication concerning the condition of an object sold with the NFT or separately from an NFT ensures that it is free of major defects deserving to be reported to a potential purchaser such as: tear, breakage, important task that may hinder its visual appreciation or use. On the other hand, the goods offered for sale with the NFT or offered for sale separately from the NFT being second-hand goods (unless specifically indicated as 'new condition') implies that they are not free from minor defects linked to normal use (traces of friction, scratches, slight depressions...) or restorations of use (cleaning, consolidation, reinforcement or any operation to perpetuate its use). To inquire about the condition of an object (details of major defects nature of usury or other minor defects...), the selling house remains at the disposal of the eventual purchaser.

before the sale, the request of the interested party must be received no later than 48 hours before the commencement of the public auction. The sale being carried out in the auction room as well as on the internet, the description of the status and the presentation of the photos on the site are worth prior exposure of the NFT which can also be consulted on the sequestered wallet of the Study whose access is indicated in the communications, the catalogue and on simple request. The condition of the frames filling the graphic works - whether reproduced or not in photography - is never guaranteed by the auction house and no claim relating to the condition of the aforementioned lots will be accepted by the auction house.

In order to materialize the NFT auction, a provisional wallet integrating the NFT offered for sale is created by the SELARL CAPPELAERE ET PRUNAUX. The accesses of this wallet specific to each NFT are placed under a sealed envelope that correspond to the lot physically auctioned. Award. Only the document called purchase slip, sent directly to the successful tenderer from the SELARL CAPPELAERE AND PRUNAUX sales house without intermediary and reproducing the elements of the minutes kept by the auctioneer, acts as confirmation of the award. In accordance with the law, the auction house is responsible for the information it contains on this document.

The NFT awarded will be given to the successful bidder by the transfer, after full payment of the prize, of the provisional wallet whose access codes are placed in sealed envelope to the successful bidder’s personal wallet. The successful bidder will not be able to benefit from the enjoyment of the provisional wallet and does not become the owner as soon as it is awarded

The successful tenderer gives the SELARL CAPPELAERE ET PRUNAUX the mandate to open the sealed envelope containing the access codes in order to transfer the NFT. The successful bidder who does not benefit from a personal wallet allowing to receive an NFT may ask the SELARL CAPPELAERE ET PRUNAUX for the realization of a personal wallet creation service, which is invoiced 50 € H.T.

Selling costs.

The successful bidder must pay, in addition to the amount of the auction, per lot, the following costs: 21,8% TTC. (20% TTC selling costs + 1.8% TTC on-line selling costs). Costs of NFT transfer between wallet The successful bidder is responsible for all NFT transfer costs: between the wallet of the owner of the lot and the wallet sequestered.

Postal dispatch is an optional service offered to the successful tenderer, the characteristics of which (processing time, possibility of taking over or not) cannot be conditioned by the successful tenderer’s complete payment of the tender list. Before any request for mail-out, it is up to the bidder - before making its bid - to inquire about the possibility of a mail-out by the auction house. Given the constraints of fragility, weight or volume, the sales house reserves the right to refuse any request for postal delivery.

Reminder of postal conditions. 

Upon receipt of the payment, SELARL CAPPELAERE ET PRUNAUX, subject to acceptance of assumption, undertakes to send the mail as soon as possible, within a maximum of 30 calendar days. After agreement and payment, the shipment will be made to the names and address shown in the Drouot Digital buyer account used for the purchase. 

For a shipment to a different address, it is up to the buyer to specify this at the latest at the time of payment.

Since the damage observed during the shipment is not covered by the service provider LA POSTE, the successful tenderer releases the establishment SELARL CAPPELAERE ET PRUNAUX from any liability in the event of damage suffered and noted on arrival. To obtain better delivery guarantees, a list of authorized professionals can be provided by the sales house upon request.

Payment. 

Payment must be made immediately after the sale: - in cash (euros) up to 1,000 euros for French nationals or up to 10,000 euros for foreign nationals proving their tax residence abroad - on the spot by credit card (Visa, Mastercard) - remotely by online credit card at the address of the SELARL CAPPELAERE AND PRUNAUX sales house and in accordance with the amount indicated on the auction ticket: https://cappelaere-prunaux.com/index.php?controller=payment

- remotely by bank transfer in euro to the order of SELARL CAPPELAERE ET PRUNAUX - by bank cheque to the order of SELARL CAPPELAERE ET PRUNAUX, with compulsory presentation of a valid identity document. In case of payment by bank cheque, the delivery of the object can be made only after a waiting period of 21 days after the delivery to the cashing of the cheque.

Document given to the successful bidder:

A single document called a Purchase Slip is given to the successful bidder. This document commits the sales house on authenticity (author, dating) when these are indicated in the catalogue. 

This document reproduces the elements of the minutes of the sale, namely: the date of the sale, the description of the property and its passage number, the amount awarded, the amount of the costs, the total amount. As an invoice and certificate of authenticity, no other document is given to the successful tenderer. Claim. It is the responsibility of the successful tenderer to check the objects at the time of the study withdrawal (number of elements that make up the lot, condition). Physical withdrawal by the successful tenderer implies acceptance of the lots and their condition. Complaints concerning a lack of conformity (for example, a non-compliant state) must be brought to the attention of the establishment at the same time as the successful tenderer withdraws the lot. Any claim made after the withdrawal cannot be processed.

In the event of postal dispatch effected at the request of the successful tenderer or withdrawal effected by an authorised intermediary, the successful tenderer shall waive his right to make any claim concerning the status of the object awarded, the house of sale cannot be held responsible for the alterations suffered by the object from its taking over by a third party. Storage and withdrawal of purchased lots. 

As soon as the award is made, the purchases are under the sole responsibility of the successful tenderer.

No lot shall be given to the acquirers before payment of all sums due. Unless otherwise stated in the description sheet indicating that the object is stored in another place, or that shorter periods apply, the awarded lots will be kept at SELARL CAPPELAERE ET PRUNAUX free of charge for 90 calendar days. Beyond that, the shopping fees listed below will be applied.

Shopping fees at the sales hotel. After 90 days of storage, each lot will be charged 40 € HT per week. Any week started is due. The selling house will exercise its right of retention on the object until full payment of the associated storage costs. In the absence of settlement, the lots concerned will be auctioned at public auction on behalf of the debtor in order to ensure their repayment, with the remainder remaining due by the debtor.

Retention of title clause The Seller and the selling house reserves, until full payment of the price by the Bidder, a right of ownership on the lots offered for sale, allowing him to take back possession of said products and whatever the date of delivery of said Products in accordance with the provisions of Articles 2367 of the Civil Code and following. Any advance payment made by the successful tenderer shall be forfeited to the Seller or to the selling house as a lump sum payment, without prejudice to any other action which he may be entitled to bring against the successful tenderer.

However, the risk of loss and deterioration will be transferred to the Contractor upon delivery of the ordered products. The successful tenderer is therefore obliged to insure, at his own expense, the products ordered, for the benefit of the Seller or the house of sale, by means of ad hoc insurance, until the complete transfer of ownership and to justify it to the latter at the time of delivery. Failing this, the Seller or the sales house would be entitled to delay the delivery until the presentation of this proof.

Default in payment. In the absence of payment by the successful tenderer of all the sums due, after a single unsuccessful formal notice, the property shall be put up for sale at the request of the unsuccessful tenderer at a mad auction. If the seller does not make such a request within three months of the date of the invitation to tender, the sale shall be terminated by operation of law, without prejudice to damages due by the defaulting tenderer.

Furthermore, SELARL CAPPELAERE ET PRUNAUX reserves the right to claim from the defaulting successful tenderer, interest at the statutory rate, the reimbursement of all costs incurred for the recovery of sums due by it, as well as the payment of the difference between the initial auction price and the mad auction price, if it is lower, and the costs generated by the new auction. Legislative and jurisdictional powers. French law alone governs these general conditions of purchase. 

Any dispute relating to their existence, validity, and enforceability against all bidders and purchasers shall be settled by the competent court within the jurisdiction of Paris (France).

Civil liability. In accordance with the law, it is specified that all civil liability actions taken in connection with the prizewinners and voluntary and judicial sales of furniture at public auction are barred after five years from the auction or the prizewinner.
